These Terms and Conditions (“Terms”) govern your access to and use of gloriazhang.com and paidtoheal.com (the “Sites”) and any coaching/consulting, 1:1 services, courses, digital products, communities, events, content, and communications (collectively, the “Services”) provided by Gloria Zhang & Associates Ltd. (“Company,” “we,” “us,” or “our”).

By using the Sites or purchasing/using Services, you agree to these Terms. If you do not agree, do not use the Sites or Services.

2) ELIGIBILITY

You must be 18+ (or the age of majority where you live) to purchase Services.

3) CHANGES

We may update these Terms from time to time. Continued use after changes means you accept the updated Terms.

4) EDUCATIONAL PURPOSES; NOT PROFESSIONAL ADVICE

Our Services are educational and informational and do not constitute legal, financial, accounting, tax, medical, or mental health advice. You are responsible for your decisions, actions, and results, and should consult qualified professionals as needed.

5) NO THERAPY / NO PROFESSIONAL CLIENT RELATIONSHIP

Unless expressly agreed in writing, using the Sites/Services does not create a therapist-client relationship, doctor-patient relationship, fiduciary relationship, or any other professional relationship.

6) PURCHASES, ACCESS, AND DELIVERY

Upon purchase, access may be provided by email, downloads, an online portal, or third-party platforms. You are responsible for having the required technology and internet access.

7) PRICING, SUBSCRIPTIONS, AND BILLING

- Prices are shown at checkout.

- If you purchase a subscription or payment plan, you authorize the stated charges and schedule until completed or canceled (as applicable).

- If you cancel a subscription, cancellation applies to future renewal charges; access continues until the end of the current paid period unless otherwise stated at checkout.

8) REFUNDS & CANCELLATIONS

Refund terms are stated in our Refund Policy and/or the checkout page/order form for the specific offer, and are incorporated into these Terms:

If no refund policy is stated for an offer, purchases are final except where required by law.

EU/UK CONSUMERS: You may have statutory rights that cannot be waived. Where legally required, we will provide any mandatory withdrawal/cancellation disclosures at checkout and honor applicable consumer rights.

9) INTELLECTUAL PROPERTY

All content and materials (videos, audio, templates, worksheets, course materials, community content created by us, branding, logos, written content) are owned by the Company or its licensors and are protected by intellectual property laws.

You receive a limited, non-exclusive, non-transferable, revocable license for personal or internal business use only (as applicable) and only as intended for the product/service you purchased. You may not reproduce, redistribute, resell, sublicense, or create derivative works without our written permission.

10) USER CONTENT & COMMUNITY RULES

If you participate in a community, you agree to be respectful and not post unlawful, infringing, harassing, hateful, defamatory, or invasive content. Do not share other members’ private information.

We may remove content or revoke access (without refund) if you violate these rules, to protect the community and our business.

11) TESTIMONIALS

If you submit a testimonial, review, or success story, you represent it is truthful and that you have the rights to share it. You grant us permission to use it for business purposes, including marketing, unless you request removal in writing.

12) RESULTS NOT GUARANTEED

We do not guarantee outcomes, business results, income, revenue, profit, or client growth. Any examples or testimonials are not promises of results.

13) THIRD-PARTY SERVICES

We may use third-party services (payment processors, course/community platforms, email/CRM tools, analytics, ad platforms). We are not responsible for third-party services or policies.

14) DISCLAIMER OF WARRANTIES

THE SITES AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

15) LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITES/SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 CAD IF YOU HAVE NOT PAID US).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

16) INDEMNIFICATION

You agree to indemnify and hold harmless the Company from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Sites/Services, your violation of these Terms, or your infringement of any rights of another.

17) TERMINATION

We may suspend or terminate your access if we believe you violated these Terms or if necessary to protect our business or community. Sections that should survive termination will survive.

18) GOVERNING LAW & VENUE

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of laws. Any dispute will be brought in the courts located in British Columbia, Canada, unless mandatory consumer laws in your jurisdiction require otherwise.

19) ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Earnings Disclaimer, Refund Policy, and any order forms/purchase agreements, constitute the entire agreement.
